Wedoit.ca Managed Services Terms of Service

1. Introduction
Purpose: These TOS govern the use of Wedoit.ca Managed Services, including software, documentation, and support services.
Agreement: By using Wedoit.ca Managed Services, you agree to these TOS. If you do not agree, do not use the Services.

2. Services Provided
Description: Wedoit.ca Managed Services offers IT support, network management, software development, and data backup and recovery. Specific services are detailed in a separate agreement.
Limitations: We strive for reliability but cannot guarantee uninterrupted or error-free services and are not liable for damages from interruptions or errors.

3. Payment and Fees
Payment Terms: Payment is required in advance for all Services via credit card, check, or wire transfer.
Fees: Monthly fees apply, as outlined in a separate agreement.
Refund Policy: No refunds are offered for Services.

4. Data Security and Confidentiality
Data Security: We use industry-standard security measures to protect client data.
Confidentiality: Client data will not be disclosed to third parties without express permission.

5. Service Level Agreement (SLA)
Guarantees: Service level guarantees are detailed in a separate agreement.
Issue Resolution: Contact our support team for any service issues, and we will resolve them promptly.

6. Intellectual Property
Ownership: All intellectual property related to Wedoit.ca Managed Services remains our property.
Restrictions: Clients may only use our intellectual property for its intended purpose.

7. Termination and Cancellation
Conditions: We may terminate or cancel Services if the client breaches these TOS.
Procedures: Clients will be notified in writing if Services are terminated or canceled.

8. Liability and Indemnification
Limitations: We are not liable for indirect, incidental, special, or consequential damages from the use of our Services.
Indemnification: Clients agree to indemnify and hold us harmless from any claims or demands arising from their violation of these TOS.

9. Dispute Resolution
Resolution Methods: Disputes will be resolved through arbitration or mediation, as mutually agreed.

10. Governing Law and Jurisdiction
Governing Law: These TOS are governed by Canadian law.
Jurisdiction: Disputes are subject to the exclusive jurisdiction of Canadian courts.

11. Miscellaneous
Entire Agreement: These TOS constitute the entire agreement between you and Wedoit.ca Managed Services.  We, Wedoit.ca,  We  Do IT,  We  Do  IT  Canada,  WEDOIT  may  have been used  interchangeably to  denote  our  company.
Severability: If any provision is invalid or unenforceable, the remaining provisions will remain in effect.
No Waiver: Our failure to enforce any provision does not constitute a waiver of that provision.
Force Majeure: We are not liable for delays or failures caused by events beyond our control.
